As corporate secretaries see it, a
corporate director should be inquisitive, knowledgeable enough to ask
appropriate questions for oversight, and ready to ruffle feathers when
necessary. A director should be able to analyze and properly respond to
information received from management and elsewhere. The right person for the job
needs to be adept at analyzing and handling crises and ready to join other
directors in meeting with institutional investors to discuss company governance
and strategic issues. And of course, a corporate director should be able to
evaluate the CEO’s performace both as a leader and as a
businessperson.
