Directors’ Compensation and Board Practices in 2007

This report reflects the changes in director compensation reporting required by the new Securities and Exchange Commission (SEC) rules of 2006. It analyzes information from 2,288 companies using data provided by Salary.com.

The report explores issues such as size distribution of board of directors, age of directors, number of members on selected board committees, percentage of companies using lead directors, and companies with a non-CEO chair.

In terms of compensation, the report takes a look at cash retainers for board members, total compensation, compensation mix (e.g., cash, stock, and stock options), and compensation for serving on or chairing a major board committee (e.g., audit, compensation, or nominating).

Data has been categorized according to 22 industries and 10 company revenue groups. The industry section of this report provides 10 tables for each industry category.
