We asked participants to consider how the role of the director has evolved and where gaps in understanding have resulted in conflict. Among the findings: there is an expectations gap between Delaware law (where judges do not review the directors’ decisions/actions if certain processes/procedures were followed) and the views of investors, proxy advisors, and the public.
